1. Acceptance of terms

By signing in to, accessing, or otherwise using the Platform, you (“you”, “User”) confirm that you have read, understood, and agree to these Terms, together with our Privacy Policy. If you are using the Platform on behalf of an organisation (“Customer”), you represent that you are authorised to bind that organisation to these Terms. If you do not agree, do not use the Platform.

2. Definitions

• “Platform” — the Anthill web application and all its modules (HR, hiring, work & project management, performance, CRM, finance, and marketing analytics) and related services.
• “Customer” — the organisation that subscribes to or is provided access to the Platform.
• “User” — any individual authorised by a Customer to access the Platform, or a candidate/third party using a public feature.
• “Customer Data” — data submitted to or generated within the Platform by or for a Customer.

3. Eligibility & accounts

• You must be at least 18 years old and capable of forming a binding contract.
• Accounts are provisioned by the Customer's administrators. You are responsible for keeping your credentials confidential and for all activity under your account.
• Notify us or your administrator promptly of any unauthorised use or security incident.

4. Use of the platform

Subject to these Terms, we grant the Customer and its authorised Users a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for internal business purposes during the subscription or access period. All rights not expressly granted are reserved.

5. Acceptable use

You agree not to:

• Use the Platform unlawfully or in breach of any applicable regulation.
• Access data you are not authorised to access, or attempt to bypass security or access controls.
• Reverse-engineer, copy, resell, or create derivative works from the Platform.
• Upload malware, or interfere with or disrupt the integrity or performance of the Platform.
• Use the Platform to store or transmit infringing, defamatory, or unlawful content.
• Use automated means to access the Platform except through provided interfaces.

6. Customer data & responsibilities

• As between the parties, the Customer owns its Customer Data. The Customer grants us the rights needed to host and process that data to provide the Platform.
• The Customer is responsible for the accuracy, quality, and legality of Customer Data and for having the necessary rights and consents to provide it (including employee, candidate, and client information).
• The Customer is responsible for configuring roles, permissions, and access appropriately.

7. Third-party services

The Platform may integrate with third-party services (e.g. Google Ad Manager, Google Ads, Meta Ads, email and hosting providers) at the Customer's direction. Your use of those services is subject to their own terms and policies. We are not responsible for third-party services, and access may change or be withdrawn by the provider. Connecting an integration authorises the Platform to access the relevant account data on your behalf using the credentials you supply.

8. Intellectual property

The Platform, including its software, design, trademarks (including “Anthill” and “ANTS Digital”), and content (excluding Customer Data), is owned by ANTS Digital and protected by intellectual-property laws. These Terms do not transfer any ownership rights to you.

9. Confidentiality

Each party may access confidential information of the other. Both parties agree to protect such information, use it only to perform under these Terms, and not disclose it except to those with a need to know who are bound by confidentiality obligations, or as required by law.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that data retrieved from third-party services (such as advertising metrics) is complete or accurate.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of or related to the Platform will not exceed the amounts paid by the Customer for the Platform in the twelve (12) months preceding the event giving rise to the claim (or, where no fees were paid, a nominal sum).

12. Indemnification

The Customer agrees to indemnify and hold harmless ANTS Digital from claims arising out of the Customer's Customer Data, its use of the Platform in violation of these Terms, or its violation of any law or the rights of a third party.

13. Suspension & termination

We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Platform or its users. On termination, your right to use the Platform ceases. The Customer may request export of its Customer Data within a reasonable period after termination, after which we may delete it in accordance with our Privacy Policy.

14. Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts at the location of ANTS Digital's registered office shall have exclusive jurisdiction over any disputes, subject to any applicable mandatory law.

15. Changes to these terms

We may update these Terms from time to time. The “Last updated” date above indicates the latest revision. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
